Terms of Service

The agreement between you and Kanrix governing use of the platform.

Please read these Terms carefully. By accessing or using the Kanrix platform, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Kanrix GmbH ("Kanrix", "we", "us", or "our"), governing your access to and use of the Kanrix strategy deployment and KPI management platform, including all related software, services, and documentation (collectively, the "Service").

By clicking "I agree", creating an account, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting on behalf of an organisation, you represent that you have the authority to bind that organisation.

2. The Service

Kanrix provides a cloud-based platform for strategy deployment, KPI management, project tracking, data integration, and AI-powered analytics designed for industrial and operational organisations.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable. We will not be liable to you for any modification, suspension, or discontinuation of the Service.

Feature availability varies by subscription plan. Features described in our marketing materials are accurate for the described plan tier at the time of publication. We may add, remove, or modify features subject to notice as described in Section 13.

3. Accounts

3.1 Registration

To access the Service, you must register for an account by providing accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information and for keeping your credentials confidential.

3.2 Account security

You are responsible for all activity that occurs under your account. You must notify us immediately at security@kanrix.com if you become aware of any unauthorised access or use of your account. We are not liable for any loss or damage arising from your failure to maintain account security.

3.3 User seats

Your subscription includes a defined number of user seats. Each seat may be used by one individual at a time. Sharing login credentials among multiple individuals is not permitted. You may reassign seats to different individuals as your team changes.

4. Subscriptions & Billing

4.1 Plans and fees

Subscription fees are as set out on our pricing page at the time of purchase. All fees are stated exclusive of VAT and other applicable taxes, which will be added at the applicable rate.

4.2 Billing cycles

Subscriptions are billed monthly or annually in advance, as selected at checkout. Annual subscriptions are billed as a single payment for the full year. Monthly subscriptions are billed each month on the anniversary of your start date.

4.3 Payment

Payments are processed by Stripe. By providing payment details, you authorise us to charge your payment method for all fees associated with your subscription. If a payment fails, we will notify you and may suspend access to the Service after a 7-day grace period.

4.4 Free trials

We may offer free trials for certain plans. At the end of a free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. No charges will be made without notice.

4.5 Upgrades and downgrades

You may upgrade your plan at any time; the new rate takes effect immediately and is charged on a pro-rated basis for the remaining period. Downgrades take effect at the start of your next billing cycle.

4.6 Refunds

Fees are non-refundable except where required by applicable consumer protection law or at our sole discretion. If you cancel your subscription, you retain access to the Service until the end of your paid period.

4.7 Price changes

We may change subscription fees with at least 30 days' notice. Price changes take effect at the start of your next renewal period. If you do not agree to the new fees, you may cancel before the change takes effect.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right
  • Upload or transmit malicious code, viruses, or other harmful software
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service or the data of others
  • Reverse engineer, decompile, or disassemble the Service or any component thereof
  • Use automated means (bots, scrapers, crawlers) to access the Service in ways that exceed reasonable usage
  • Resell, sublicense, or otherwise make the Service available to third parties without our prior written consent
  • Remove or obscure any copyright, trademark, or other proprietary notices
  • Use the Service in connection with any illegal, harmful, or deceptive activity

We reserve the right to investigate suspected violations and to suspend or terminate accounts involved in such activities without notice.

6. Your Data

6.1 Ownership

You retain all ownership rights in the data, content, and information you upload to or create within the Service ("Customer Data"). These Terms do not grant Kanrix any ownership rights in Customer Data.

6.2 Licence to operate

You grant Kanrix a limited, non-exclusive licence to process Customer Data solely as necessary to provide the Service, including to store, display, transmit, and analyse data to deliver the features you have enabled.

6.3 Data processing

Where Customer Data includes personal data, the processing of that data is governed by our Data Processing Agreement (DPA), which is incorporated into these Terms by reference and available on request at privacy@kanrix.com.

6.4 Data portability

You may export your Customer Data at any time through the export features available in the platform. We will provide a machine-readable export of your data on request.

6.5 Deletion after termination

Following account closure, Customer Data will be deleted within 30 days, except where retention is required by applicable law. You are responsible for exporting any data you wish to retain before closure.

7. Intellectual Property

The Service, including its software, design, text, graphics, interfaces, and all other content (excluding Customer Data), is the exclusive property of Kanrix and is protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, Kanrix grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your subscription term.

"Kanrix" and associated logos and marks are trademarks of Kanrix GmbH. You may not use our trademarks without our prior written consent.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the disclosure ("Confidential Information").

Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this agreement; (b) was rightfully known before disclosure; (c) is independently developed without reference to the disclosing party's Confidential Information; or (d) is required to be disclosed by law, court order, or regulatory authority.

Confidentiality obligations survive termination of these Terms for a period of 3 years.

9. Warranties & Disclaimers

Kanrix warrants that the Service will perform materially in accordance with its documentation under normal use conditions. Enterprise plan customers are entitled to the uptime SLA set out in their Order Form.

Except as expressly stated, the Service is provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by law, Kanrix disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information or analytics generated by the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Kanrix's total cumulative liability to you arising out of or related to these Terms or the Service shall not exceed the greater of: (a) the total fees paid by you in the 12 months preceding the event giving rise to the claim, or (b) €100.
  • In no event shall Kanrix be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility of such damages.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if a limited remedy fails its essential purpose.

Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for fraud, gross negligence, or death and personal injury caused by negligence.

11. Indemnification

You agree to indemnify, defend, and hold harmless Kanrix and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service in violation of these Terms
  • Your Customer Data, including any claim that it infringes a third party's intellectual property or privacy rights
  • Your breach of any representation, warranty, or obligation under these Terms

12. Termination

12.1 By you

You may cancel your subscription at any time by accessing your account settings or contacting us at hello@kanrix.com. Cancellation takes effect at the end of your current billing period. No refunds are issued for the remaining period.

12.2 By Kanrix

We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees after the grace period, or if we are required to do so by law. We will provide notice where reasonably practicable.

12.3 Effect of termination

Upon termination, your right to access the Service ceases immediately. Sections 6, 7, 8, 9, 10, 11, and 14 survive termination indefinitely.

13. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by email or via a prominent notice in the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you may terminate your subscription before the effective date. Refunds for the unused portion of annual subscriptions will be considered on a case-by-case basis where changes are material.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Germany, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms that cannot be resolved by good-faith negotiation within 30 days shall be submitted to the exclusive jurisdiction of the courts of Berlin, Germany.

For consumers in the European Union, mandatory consumer protection provisions of your country of residence continue to apply and cannot be excluded by these Terms.
